1. INTRODUCTION
These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and HQ Sponsor Ltd., a company incorporated under the laws of the Republic of Cyprus (“HQ Sponsor”, “we”, “us”, or “our”), governing your access to and use of the HQ Sponsor platform, website, applications, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations.
2. ROLE OF HQ SPONSOR
HQ Sponsor operates solely as a technology marketplace platform that facilitates introductions and collaboration opportunities between athletes, sports organizations, agents, brands, and sponsors (collectively, “Users”).
HQ Sponsor:
• is not an employer, agent, broker, fiduciary, or representative of any User;
• is not a party to any Sponsorship Contract;
• does not negotiate, guarantee, or enforce Sponsorship Contracts;
• does not endorse or certify any User’s suitability, reliability, or performance.
All Sponsorship Contracts are entered into directly between Users.
3. USER ELIGIBILITY
Users must be at least eighteen (18) years old. Athletes under eighteen (18) may only participate through a parent or legal guardian who accepts these Terms on their behalf.
4. USER ACCOUNTS AND RESPONSIBILITIES
You agree to:
• provide accurate and complete information;
• maintain confidentiality of login credentials;
• promptly notify HQ Sponsor of unauthorized account use.
Users remain solely responsible for all activities conducted through their accounts.
5. VERIFICATION
HQ Sponsor may implement identity or profile verification procedures. Verification confirms identity or submitted information only and does not constitute endorsement, financial vetting, performance assurance, or guarantee of legitimacy.
Users must independently conduct due diligence before entering any Sponsorship Contract.
6. SUBSCRIPTIONS
Athletes may access certain features free of charge. HQ Sponsor reserves the right to introduce subscription tiers or paid services upon reasonable notice.
7. SPONSORSHIP CONTRACTS
Sponsorship Contracts are agreements entered directly between Users.
HQ Sponsor assumes no responsibility for:
• negotiation;
• formation;
• performance;
• enforcement; or
• breach of any Sponsorship Contract.
Compliance with advertising laws, consumer protection laws, sports federation rules, NIL regulations, taxation obligations, and regulatory requirements remains solely the responsibility of the contracting Users.
8. PAYMENTS AND COMMISSIONS
8.1 Payment Processing
All Deal Payments must be processed through licensed thirdparty payment providers integrated into the Service.
HQ Sponsor does not provide regulated payment services, hold client money in its own capacity, or operate as a payment institution or electronic money institution.
Any escrow, safeguarding, or payment services are provided exclusively by regulated thirdparty providers.
8.2 Commission
Transactions between Users who first connected through the Service are subject to an HQ Sponsor commission for twelve (12) months following last platform interaction.
Attempts to circumvent commissions constitute a material breach of these Terms.
9. PLATFORM CONDUCT
Users must act lawfully and professionally. HQ Sponsor may remove content or suspend accounts acting reasonably and for legitimate business or legal reasons, including fraud, misconduct, or violation of these Terms.
Except in urgent circumstances, reasonable notice will be provided.
10. INTELLECTUAL PROPERTY
All platform software, branding, databases, algorithms, and content remain the exclusive property of HQ Sponsor and its licensors.
Users receive a limited, nonexclusive, revocable license to access and use the Service solely for intended marketplace purposes.
11. USER CONTENT
By submitting Content, Users grant HQ Sponsor a worldwide, nonexclusive, royaltyfree license to use such Content for operating, marketing, improving, analytics, and development of the Service.
Users represent they possess all necessary rights to submitted Content.
12. DATA USE AND ANALYTICS
HQ Sponsor may use aggregated or anonymized platform data for analytics, service optimization, artificial intelligence training, fraud prevention, and business improvement purposes.
13. FRAUD, AML AND SANCTIONS COMPLIANCE
Users agree not to use the Service in violation of antimoney laundering, sanctions, anticorruption, or export control laws.
HQ Sponsor may suspend accounts where required to comply with legal or regulatory obligations.
14. DISPUTE RESOLUTION BETWEEN USERS
Users are solely responsible for resolving disputes arising from Sponsorship Contracts. HQ Sponsor may facilitate communication at its discretion but has no obligation to mediate or resolve disputes.
15. DISCLAIMER OF WARRANTIES
The Service is provided on an “as is” and “as available” basis without warranties of any kind to the fullest extent permitted by law.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, HQ Sponsor shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Service.
Nothing in these Terms excludes liability where prohibited by law.
17. CONSUMER RIGHTS
Where Users qualify as consumers under applicable law, mandatory statutory consumer rights shall prevail over conflicting provisions of these Terms.
18. INDEMNIFICATION
Users agree to indemnify HQ Sponsor against claims arising from:
• breach of these Terms;
• violation of law; or
• Sponsorship Contracts entered into by the User.
19. TERMINATION
HQ Sponsor may suspend or terminate access where Users breach these Terms, attempt fee circumvention, or engage in fraud or unlawful conduct.
Outstanding commissions remain payable following termination.
20. GOVERNING LAW AND ARBITRATION
These Terms shall be governed by the laws of the Republic of Cyprus.
Disputes shall first be subject to informal resolution. If unresolved within thirty (30) days, disputes shall be finally resolved by binding arbitration seated in Cyprus and conducted in English.
Users waive participation in class actions or representative proceedings to the extent permitted by law.
21. FORCE MAJEURE
HQ Sponsor shall not be liable for failures caused by events beyond reasonable control, including technical outages, governmental actions, or natural disasters.
22. ENTIRE AGREEMENT
These Terms constitute the entire agreement between HQ Sponsor and Users regarding use of the Service.
If any provision is held invalid, remaining provisions remain in force.
